USAR stock closed the week of July 27, 2026 doing something quote pages describe accurately and explain badly. USA Rare Earth, Inc. (Nasdaq: USAR) traded at $13.06 on July 29, 2026, down 7.11% on the day from a $14.06 previous close, on volume of 11.66 million shares (source: stockanalysis.com). That is 70% below the $43.98 the stock printed inside the last 12 months, and only about 20% above the $10.91 low.

Every data site on the first page will give you that number. What almost none of them do is point out that the denominator underneath it is scheduled to change. Shareholders vote on August 28, 2026 on issuing 126.849 million new shares to buy Brazil's Serra Verde Group. That is the single most consequential fact about USAR stock right now, and it is arithmetic rather than opinion.

Two of those rows deserve to be read together. A $3.20 billion market capitalisation against $7.34 million of trailing revenue is roughly 436 times sales — a multiple that only makes sense if you are paying for tonnes that do not exist yet. USAR is not being valued as a metals company. It is being valued as a claim on a 2028 supply chain.

Why is USAR stock down when the news flow is good?

This is where the mismatch gets interesting, because the operational news since June has mostly been positive. The Wheat Ridge hydrometallurgical facility produced commercial-grade dysprosium oxide and neodymium-praseodymium oxide samples from recycled magnet material on July 14. The company signed definitive agreements on July 23 for roughly 13.6% stakes in France's Carester. The Stillwater magnet line is commissioned and targeting a 600 mtpa run rate by the end of Q4 2026.

The stock fell anyway, for three reasons that have little to do with the plant.

Index mechanics. USAR was dropped from several Russell value benchmarks in the late-June reconstitution. Passive funds sell when that happens, regardless of what the company is doing.

Litigation and geopolitics. MP Materials sued USA Rare Earth in May 2026 over grain-boundary-diffusion magnet trade secrets — the exact process the magnet thesis rests on. Separately, China named both MP and USAR in its June 22 retaliation measures against the Pentagon blacklist.

Sell-side resetting. Roth Capital cut its target from $40 to $30 in late July while keeping a Buy. A target cut inside a Buy rating is the sell-side saying right story, wrong price.

And underneath all three, a Reuters piece on July 27 made the sector's uncomfortable point out loud: the U.S. push to be free of Chinese critical minerals by January 2027 is running ahead of what American processors can actually deliver. For a stock priced on policy tailwind, a story questioning the deadline is a direct hit.

The share count math behind USAR stock

This is the part the quote pages do not run. USAR has been buying growth with paper, and two of those payments land in the next two months.

Read that bottom row carefully. If USAR stock stays exactly where it is, the enlarged company carries a $4.9 billion equity value rather than $3.2 billion. Post-close, existing USAR holders own roughly 66% of the combined business and Serra Verde holders about 34%. The Serra Verde consideration also includes $300 million in cash.

To be fair to the deal, this is not dilution for nothing. Serra Verde is a producing ionic-clay operation, TMRC's 3.82 million shares buy out the last 18.6% minority interest in Round Top and make USAR the sole economic owner of its flagship deposit, and Serra Verde's CEO takes over the combined company. The point is not that the trade is bad. The point is that a per-share price cannot be compared with a pre-deal price target without adjusting the denominator, and most published targets predate the raise.

There is a second number in the capital structure worth knowing. Under the January 2026 CHIPS Program letter of intent, the U.S. Department of Commerce received about 16.1 million shares at $17.17 plus warrants over roughly another 10% of the fully diluted company at the same $17.17 strike, exercisable over ten years. At $13.06, Washington's cost basis is about 24% underwater. That has a practical consequence: those warrants are not an immediate overhang, because nobody exercises at $17.17 into a $13 tape. The overhang re-appears on the way up, right where enthusiasm usually returns.

Is USAR stock a good buy near $13?

The honest answer is that the eight analysts covering it and the tape currently disagree by a factor of nearly three, and you should treat that as information rather than as an opportunity.

Consensus is Strong Buy with a $37.50 target — about 187% above the July 29 price. That target embeds four assumptions stacked in series: Round Top gets permitted and built for late 2028, Stillwater scales from 600 to 1,200 mtpa without a hitch, the $1.6 billion of federal support converts from a non-binding letter of intent into drawn money, and the MP Materials suit does not touch the magnet process. Multiply four probabilities and the arithmetic is unforgiving even when each one is individually likely.

The better framing is that USAR stock is not cheap or expensive in any conventional sense — with $7 million of revenue there is no multiple to anchor on. It is a levered claim on execution dates, and it prices closer to $44 when the market believes those dates and closer to $11 when it does not. Roth's cut to $30 while keeping a Buy is the cleanest expression of that: the analyst still believes the asset and has repriced the timeline.

What experienced holders of this name actually watch is not the target. It is the cash line at each quarter and whether guidance dates move. A single slipped feasibility study has historically been worth more to the share price than any analyst revision.
